This UEEx Cloud Mining Platform Terms of Service Agreement ("Agreement") is a legally binding contract between you ("User" or "you") and UEEx ("UEEx", "we", or "our"), governing your access to and use of all products, services, websites, applications, and APIs provided by UEEx, including cloud computing-based mining services.
By accessing or using the UEEx platform or any of its services, you acknowledge that you have read, understood, and agreed to be bound by this Agreement. If you do not agree to any terms herein, please do not use UEEx services.
1. Scope and Changes to the Agreement
1.1 This Agreement applies to all users accessing or using the UEEx cloud mining platform, including via web, mobile, or other means.
1.2 UEEx reserves the right to amend or update the terms of this Agreement at any time. Changes will take effect once published on the platform. Continued use of UEEx services after such changes constitutes your acceptance of the revised terms.
2. Services
2.1 UEEx provides cloud-based computing services including, but not limited to, digital asset mining leasing, mining management tools, and revenue tracking.
2.2 UEEx may modify or adjust service features at its sole discretion, without prior notice.
3. User Registration and Eligibility
3.1 You represent and warrant that:
- If you are a natural person: you are at least 18 years old and legally capable of entering into a binding contract.
- If you represent a legal entity: you are duly authorized and your organization is validly formed and in good standing under applicable law.
- Your use of UEEx services complies with all applicable laws and regulations in your jurisdiction.
- You are not a restricted or prohibited party under applicable sanctions laws or UEEx internal compliance policies.
3.2 You agree to:
- Provide true, accurate, and complete registration information;
- Update your information in a timely manner if there are any changes;
- Register and maintain only one UEEx account unless authorized in writing;
- Maintain the confidentiality of your login credentials and take full responsibility for activities under your account.
3.3 UEEx may request personal identification (e.g., government ID, proof of address) and financial information for compliance purposes (e.g., KYC/AML).
4. Service Provision, Suspension, and Termination
4.1 Users may stop using UEEx services at any time. Account termination requests must be submitted via official customer support.
4.2 UEEx reserves the right to suspend or terminate your access to services if:
- You violate any provisions of this Agreement;
- Required by law or regulatory authority;
- Your use poses security or compliance risks;
- You are a resident of a restricted region or classified as a prohibited individual/entity.
4.3 Refunds are not guaranteed and may be denied due to user-related reasons such as policy violations or non-compliance.
5. Risk Disclosure
Using UEEx services involves inherent risks, including but not limited to:
- Volatility in digital asset prices;
- Changes in mining difficulty, hardware depreciation;
- System outages or cyberattacks;
- Legal or regulatory restrictions;
- Irreversible transactions;
- Loss of access credentials (e.g., private keys, passwords).
You agree that you understand these risks, and that UEEx is not liable for any direct or indirect losses you may incur. UEEx does not provide investment advice.
6. User Conduct and Obligations
You agree that you shall not:
- Use the platform for any illegal or unauthorized activities;
- Violate any intellectual property rights or third-party rights;
- Interfere with the normal operation or security of the platform;
- Manipulate markets or conduct malicious trading;
- Use the platform to publish or transmit prohibited content, including but not limited to:
- Hate speech, violence, pornography, terrorism, rumors, defamation;
- Political propaganda or disruption of national unity.
You may not:
- Use multiple accounts for malicious purposes;
- Impersonate others or falsify identity;
- Use anonymizing tools (e.g., Tor, proxy, VPN) to conceal your identity without authorization;
- Use UEEx for unauthorized commercial purposes or reproduce platform data without permission.
7. Intellectual Property
All content on the UEEx platform—including but not limited to logos, software, design, graphics, and data—is protected by copyright, trademark, and other intellectual property laws and is owned or licensed by UEEx.
UEEx grants you a limited, non-transferable, non-exclusive license to access and use platform content solely for personal or internal business purposes. Unauthorized use, reproduction, or modification is strictly prohibited.
8. Fees
Fees for UEEx services will be clearly published on the platform. UEEx reserves the right to modify fee structures at any time. Updated fees apply to future services only.
9. Disclaimer and Limitation of Liability
9.1 UEEx services are provided "as is" and "as available". We make no warranties regarding service continuity, accuracy, fitness for a particular purpose, or non-infringement.
9.2 UEEx shall not be liable for:
- Loss of profits or business opportunities;
- Data loss not caused by intentional misconduct;
- Service interruptions due to external factors (e.g., war, epidemic, government actions, natural disasters);
- Content accessed from third-party links or unofficial sources;
- Any indirect, incidental, or consequential damages, even if advised of their possibility.
9.3 Total liability of UEEx, if any, shall not exceed the total amount of fees paid by the user to UEEx.
10. Dispute Resolution and Governing Law
10.1 This Agreement is governed by the laws of the State of Texas, United States, without regard to conflict of law principles.
10.2 If any dispute arises, the parties shall first attempt to resolve it amicably. If unresolved, the matter shall be submitted to arbitration in Houston, Harris County, Texas, administered by the American Arbitration Association under its Commercial Arbitration Rules. The award shall be final and binding.
11. Miscellaneous
- No Waiver: Failure to enforce any part of this Agreement does not constitute a waiver of rights.
- Severability: If any provision is deemed invalid, the remaining provisions remain in full force and effect.
- Entire Agreement: This Agreement constitutes the complete agreement between the user and UEEx and supersedes any prior versions.
- Language: In case of discrepancies between different language versions, the English version shall prevail.
- Communication: All official communication will be sent via platform announcements, email, SMS, or other verified channels. UEEx shall not be responsible for messages from unofficial sources.
